Amendments

When a company needs to edit, add or delete information on the original article or certificate of incorporation/formation, the state requires the business to complete a certificate of amendment. The information included in the certificate varies by state, but typically must include the company name as originally filed with the state, the provision number being amended along with the new wording of the amended provision, a statement noting approval by the corporation’s board of directors and a statement noting approval by the corporation’s additional shareholders, if any. The certificate must also be signed, usually by the officer or authorized of the company.
